By accessing or using any VecViz website, web application (including the dashboards at app.vecviz.com), data feed, application programming interface (API), MCP (Model Context Protocol) tool endpoint, agent skill or instruction file published by VecViz, or any service or analytical output delivered through the VecViz platform or through any third-party or self-hosted software configured to access VecViz (collectively, the "Service"), you are agreeing to be bound by the following terms and conditions ("Terms of Use"). These Terms of Use constitute a legally binding agreement between you and VecViz LLC ("VecViz" or the "Company").

VecViz may, in its sole discretion and at intervals of its sole choosing, modify the Service and/or these Terms of Use at any time and without prior notice. It is your responsibility to monitor such changes, and to determine whether or not to continue to access and use the Service based upon any such changes. The Company shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. The Service may update automatically and, if designed for use in a specific operating environment, a compatible system or account is required.

VecViz is a technical research company conducting research and analyses on financial instruments, and shares the results of its research via the Service. VecViz is not providing you any financial or investment advice.

USE OF THE SERVICE IS SOLELY FOR INFORMATIONAL AND EDUCATIONAL PURPOSES, AND NOT FOR THE PURPOSE OF THE PROVISION OF FINANCIAL OR INVESTMENT ADVICE. VECVIZ AND THE SERVICE DOES NOT PURPORT TO OFFER ANY FINANCIAL OR INVESTMENT ADVICE TO YOU THROUGH THE SERVICE, AND THE SERVICE AND INFORMATION PROVIDED BY VECVIZ AND THE SERVICE (INCLUDING FACTS, VIEWS, OPINIONS, RECOMMENDATIONS, TRADES, TRADING STRATEGIES OR SYSTEMS, OR DESCRIPTIONS OF OR REFERENCES TO PRODUCTS OR SECURITIES) IS NOT TO BE USED OR CONSTRUED AS AN OFFER TO BUY, OR AN ENDORSEMENT OR SPONSORSHIP, OF ANY ENTITY OR SECURITY. THIS APPLIES EQUALLY TO SERVICE OUTPUT PRESENTED, SUMMARIZED, PARAPHRASED, OR ACTED UPON BY ANY AI ASSISTANT OR AUTOMATED AGENT. PLEASE SEEK THE ADVICE OF FINANCIAL AND/OR INVESTMENT PROFESSIONALS (INVESTMENT ADVISORS, BROKERS, FINANCIAL PLANNERS, ETC.), AS APPROPRIATE, REGARDING THE EVALUATION OF ANY SPECIFIC INFORMATION, OPINIONS, OR OTHER CONTENT.

Your use of the information provided via the Service should be based upon your own due diligence and judgment of how best to use the information, and subsequently independently verified by a licensed broker, investment advisor, or financial planner.

COMMUNICATIONS TRANSMITTED THROUGH THE SERVICE, INCLUDING API AND MCP REQUESTS AND RESPONSES, MAY BE LOGGED AND MONITORED FOR METERING, BILLING, QUALITY ASSURANCE, SECURITY, AND ABUSE-PREVENTION PURPOSES, AS DESCRIBED IN OUR PRIVACY POLICY. BY ACCEPTING THESE TERMS OF USE, YOU CONSENT TO SUCH LOGGING AND MONITORING. VECVIZ'S COMMITMENTS REGARDING WHAT IT DOES NOT DO WITH YOUR QUERY DATA ARE SET FORTH IN THE PRIVACY POLICY.

1. Use Restrictions

You agree not to allow the Service to be placed on or integrated into any third-party website, platform, or application, except (a) as expressly authorized by VecViz in writing, (b) through integration surfaces VecViz itself publishes (such as embeddable components hosted by VecViz), or (c) by configuring Compatible Software (as defined in Section 4) to access the Service with a valid API Key. For the avoidance of doubt, accessing the Service through AI assistants, MCP-compatible clients, and self-hosted analytics software configured with your API Key is permitted subject to these Terms of Use.

You agree that you will NOT use the Service to:

upload, download, post, email, transmit, store or otherwise make available any content that is unlawful, harassing, threatening, harmful, tortious, defamatory, libelous, abusive, violent, obscene, vulgar, invasive of another's privacy, hateful, racially or ethnically offensive, or otherwise objectionable;
stalk, harass, threaten or harm another;
pretend to be anyone, or any entity, you are not, or otherwise misrepresent your affiliation with a person or entity;
engage in any copyright, patent or other intellectual property infringement, or disclose any trade secret or confidential information in violation of a confidentiality, employment, or nondisclosure agreement;
violate any applicable securities laws in connection with your use of the Service;
post, send, transmit or otherwise make available any unsolicited or unauthorized email or text messages, advertising, promotional materials, junk mail, spam, or chain letters;
forge any TCP-IP packet header or otherwise put information in a message designed to mislead recipients as to the origin of any content transmitted through the Service ("spoofing");
upload, post, email, transmit, store or otherwise make available any material that contains viruses or any other computer code, files or programs designed to harm, interfere or limit the normal operation of the Service, or any other computer software or hardware;
interfere with or disrupt the Service, or any servers or networks connected to the Service, or circumvent or attempt to circumvent authentication, usage quotas, rate limits, scope restrictions (including ticker-universe restrictions applicable to trial or demo access), or any other technical protection measure of the Service; and/or
gather or store personal information on any other users of the Service to be used in connection with any of the foregoing prohibited activities.

Automated access itself is not prohibited: the Service is designed to be used by software, including AI assistants and autonomous agents, as set forth in Section 5. What is prohibited is automated access that evades authentication, quotas, scopes, or other limits, or that is used for scraping or redistribution in violation of these Terms of Use.

2. API Access and Key Terms

Access to the Service's analytics, other than free public preview surfaces, is provided via an API key ("API Key"), which functions as your credential across all surfaces of the Service (the web dashboards, the REST API, the MCP tools, and Compatible Software). The following terms govern your use of any API Key issued to you by VecViz:

API Keys are personal, non-transferable, and non-shareable. Your API Key may only be used by you, and by software (including AI assistants and automated agents) acting on your behalf and under your control, and may not be shared with, assigned to, or used by any other person or entity.
You are solely responsible for all activity conducted under your API Key, whether conducted by you personally or by any software or agent you have configured with it, and whether or not specifically authorized by you. If you believe your API Key has been compromised, you must notify VecViz immediately at admin@vecviz.com and cease use of the compromised key.
You must keep your API Key strictly confidential and take all reasonable steps to prevent unauthorized access to or disclosure of your API Key, including entering it only into the Service itself and into the credential-configuration surfaces of Compatible Software. VecViz shall not be liable for any losses, damages, or unauthorized use arising from your failure to maintain the security of your API Key.
VecViz reserves the right to revoke, rotate, suspend, or deactivate any API Key at any time, including without limitation upon breach of these Terms of Use, non-payment of applicable subscription fees, suspected unauthorized use, abuse of trial provisioning, or any other reason VecViz deems appropriate in its sole discretion, with or without prior notice.
Your API Key will be deactivated automatically upon termination or expiration of your subscription or trial, or upon termination of the Agreement.

3. Free Trial Keys and Demo Access

VecViz may offer free trial API Keys ("Trial Keys"), which may be issued instantly and without registration, including programmatically to automated agents, and free public demo surfaces (such as demo dashboards limited to a small ticker universe). The following additional terms apply:

Trial Keys and demo access are provided free of charge, for evaluation purposes, on a restricted basis: they are limited to a designated demo ticker universe, subject to hard usage quotas, and expire automatically. VecViz may change the demo universe, quotas, expiry, and availability of trials at any time.
Trial access is limited to a reasonable number of Trial Keys per person or organization. Generating multiple Trial Keys, rotating keys, distributing minted keys, or otherwise using trial provisioning to evade quotas, expiry, scope restrictions, or the requirement to subscribe is prohibited and may result in revocation of keys and blocking of access.
All provisions of these Terms of Use, including the license limits, use restrictions, and disclaimers, apply to Trial Keys and demo access to the same extent as to paid subscriptions. TRIAL AND DEMO ACCESS IS PROVIDED STRICTLY AS-IS, AND VECVIZ MAY MODIFY, SUSPEND, OR DISCONTINUE IT AT ANY TIME WITHOUT NOTICE OR LIABILITY.

4. Compatible Software; Third-Party Platforms and Self-Hosted Deployments

The Service is designed to be accessed through software that VecViz does not operate ("Compatible Software"), including: AI assistants and chat applications; AI agent frameworks and orchestration tools; MCP-compatible clients; developer tools; spreadsheet and coding environments; and self-hosted analytics software (including open-source analytics workspaces you run on your own infrastructure). Directories and registries through which you discover or connect to the Service are likewise operated by third parties. You acknowledge and agree that:

Your use of any Compatible Software or third-party platform is governed by the terms of service, privacy policy, and other applicable agreements of that provider (or, for self-hosted software, its license), not by these Terms of Use. VecViz is not a party to, and has no responsibility for, your agreement with any such provider.
By accessing the Service through Compatible Software, you consent to your requests and the resulting Service output being transmitted to and processed by that software and its operator. Such software and its operator may retain, process, use, or train upon your prompts, queries, the Service output returned to you, and inferences drawn from your usage, in accordance with its own policies. VecViz does not control and is not responsible or liable for the practices of any Compatible Software, its operator, or any self-hosted deployment, including anything such software or its operator collects, learns, or infers about you through your use of the Service within it.
VecViz is not responsible for the availability, functionality, performance, security, or any interruption of any Compatible Software or third-party platform, and shall not be liable for any losses or damages arising from its unavailability, changes, discontinuation, or any actions or omissions of its provider. VecViz makes no representation that any particular Compatible Software will remain compatible with the Service.
VecViz is an independent provider of analytical data and services and is solely responsible for the Service and its content. Unless expressly stated otherwise in writing, VecViz is not affiliated with, endorsed by, or sponsored by any third-party platform or software provider, and no such provider certifies or warrants VecViz's products or services.
Requests routed to VecViz through Compatible Software may include technical headers or identifiers generated by that software; VecViz may use such information solely for internal analytics, usage measurement, security, and service improvement.
In the event of any conflict between these Terms of Use and the terms of any Compatible Software or third-party platform, these Terms of Use shall govern with respect to your use of the VecViz Service and VecViz Property.

5. Automated Agents; Usage Quotas

Use of the Service by AI assistants and autonomous agents acting on your behalf, under your API Key, and within your quotas is an intended use of the Service. You are responsible for the configuration and conduct of any such agent, and all requests it makes are attributed to you, count against your quotas, and are subject to these Terms of Use as your own acts.
Usage of the Service is metered and enforced through hard quotas and rate limits. When a key's quota is exhausted, further requests are declined until the quota resets or the plan is changed; declined requests do not accrue charges. VecViz reserves the right to implement, modify, or remove quotas, rate limits, and usage restrictions at any time and in its sole discretion, and to throttle or suspend keys exhibiting abusive consumption patterns without prior notice. Without limiting the foregoing, VecViz may dynamically adjust rate limits and quotas during periods of extreme market volatility, unusual load, or degraded upstream data availability in order to preserve the stability and integrity of the Service for all users.
You may not use automated mechanisms to enumerate, bulk-download, or systematically extract the Service's analytics beyond the quotas and intended interactive or programmatic research use of your plan, whether through one key or many.

6. License to Service Output; AI and Data Restrictions

The outputs, data, reports, and analytical results delivered via the Service, on any surface (collectively, "Service Output"), are licensed, not sold. Subject to these Terms of Use and payment of applicable fees, VecViz grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to use Service Output for your own personal, or internal business, informational and research purposes.

You may not, except with VecViz's express prior written consent:

retransmit, redistribute, resell, sublicense, republish, syndicate, or otherwise make Service Output available to any third party, in raw or substantially unmodified form, including via any website, feed, data product, or application;
use Service Output, in whole or in part, to train, fine-tune, or develop (i) any large language model, foundation model, or general-purpose artificial intelligence system, (ii) any model, product, dataset, index, or service that replicates, substitutes for, or competes with the Service or any VecViz analytic, or (iii) any data product for distribution to third parties; or
create or distribute any database or archive of Service Output.

Permitted for clarity: (a) submitting Service Output as context to an AI assistant or agent in the course of your own permitted research use (inference-time use), provided you understand that the assistant's operator may retain or use it under its own policies as described in Section 4, and provided such use is not employed to accomplish what the preceding paragraph prohibits; (b) using Service Output as inputs or features in your own internal, non-redistributed quantitative models, trading algorithms, and research systems (for example, incorporating VecViz metrics as features in an internal forecasting or risk model), provided that neither such models' outputs nor the underlying Service Output are distributed, sold, or made available to third parties as a data or analytics product, and provided this permission does not extend to assembling a historical archive of Service Output, which remains subject to the no-database restriction above (historical VecViz datasets are available under separate license); (c) quoting limited excerpts of Service Output, with attribution to VecViz, in your own research notes, internal materials, and non-commercial commentary; and (d) incorporating conclusions informed by Service Output into your own work product, so long as the Service Output itself is not redistributed in raw or substantially unmodified form.

7. Service Disclaimers

VecViz is not an investment advisor. VecViz does not provide personalized or individualized investment advice. Any information provided as part of the Service is impersonal and not specific to any person's investment needs. You alone are solely responsible for determining whether any investment, security or strategy, or any other product or service, is appropriate or suitable for you based on your investment objectives and personal and financial situation. You should consult a registered investment advisor, attorney, or tax professional regarding your particular financial situation, investing strategies, or specific legal or tax situation.

You hereby acknowledge and agree that no content published or otherwise provided as part of the Service constitutes a personalized recommendation or advice regarding the suitability of, or advisability of investing in, purchasing or selling any particular investment, security, portfolio, commodity, transaction or investment strategy. The presentation, summarization, ranking, or interpretation of Service Output by an AI assistant or agent does not transform it into personalized advice from VecViz, and VecViz is not responsible for any characterization of Service Output made by any AI assistant or agent.

To the extent that any of the content published or otherwise provided as part of the Service may be deemed to be investment advice or recommendations in connection with a particular security, such information is impersonal and not tailored to the investment needs of any specific person. None of VecViz's staff, employees, independent contractors, or owners (collectively, "Representatives") shall be liable for any investment decisions based upon or results obtained from any of the content published or otherwise provided as part of the Service. Trading in investments involves risk and volatility, and any of the investments discussed may lose their value after purchase. Past investment results, including published model portfolio results and daily analytic performance reporting, are not necessarily indicative of future performance. Moreover, the information, research, and opinions that VecViz and/or the Service provides are obtained or derived from sources believed to be reliable, but VecViz cannot, and does not, guarantee their accuracy and completeness nor the opinions based thereon.

VecViz and its Representatives may hold long or short investments in securities issued by some or all of the tickers for which VecViz provides analytics, or derivatives thereon, and may operate or publish model portfolios (including through third-party portfolio platforms) that reflect the Service's analytics.

You should not rely solely upon such information, research and opinions that VecViz and/or the Service provides for purposes of transacting securities or other investments, and you are encouraged to conduct your own research and due diligence, and to seek the advice of a qualified investment professional before you make any investment.

VecViz reserves the right to change, modify or discontinue any content or any portion or feature of the Service, including the composition of the covered ticker universe, which changes over time as a result of corporate actions and other factors. VecViz may make these changes at its sole discretion, either temporarily or permanently, at any time or from time to time, with or without notice. Your continued use of the Service constitutes your acceptance of any such changes.

The Service identifies securities using exchange ticker symbols. If your own workflows map, join, or enrich Service Output using proprietary or licensed security identifiers (such as CUSIP, ISIN, SEDOL, or similar identifiers administered by third parties), you are solely responsible for obtaining and maintaining any licenses required from the owners or administrators of those identifier systems, and VecViz shall have no liability arising from your use of such identifiers.

There may be links established between the Service and other websites which are not under the control of, or maintained by, VecViz. Such links do not necessarily constitute an endorsement by VecViz of those sites. VecViz undertakes no obligation to monitor such sites, and you agree that VecViz is not responsible for the content of such sites, or any technical or other problems associated with any such third-party site, links, or usage.

8. Subscription Terms

Access to the paid features of the Service is provided on a subscription basis. By subscribing to the Service, you agree to pay all applicable fees as set forth at the time of purchase.

Subscriptions are billed on a recurring basis (monthly or annual, as applicable) and will automatically renew at the end of each billing period unless you cancel prior to the renewal date. Billing is processed through VecViz's designated third-party payment processor. By subscribing, you authorize recurring charges to your chosen payment method.

Cancellations take effect at the end of the current billing period, and may be made through the payment processor's billing portal linked in your receipt. You will retain access to the Service through the end of the paid period. No refunds or credits will be issued for partial billing periods unless otherwise required by applicable law or expressly stated in a separate written agreement with VecViz.

Non-payment or failed payment will result in suspension of your API Key and access to the Service. VecViz will attempt to notify you of any payment failure, but is not obligated to delay suspension pending such notification.

VecViz reserves the right to change subscription pricing at any time. VecViz will provide at least thirty (30) days prior written notice (which may be provided via email to the address associated with your subscription) before any price increase takes effect for existing subscribers.

Applicable taxes, duties, or other governmental charges will be calculated and collected at the time of checkout by VecViz's designated payment processor.

9. Limitations of Use

You are not granted any rights under any of VecViz's trademarks, or any trademarks of any other third party. You will not use VecViz's copyrights or trademarks or any confusingly similar marks. VecViz is not responsible for providing any product support, maintenance or upgrades except as it elects to provide. You are responsible for the installation, management and operation of any Compatible Software you choose to use, including any self-hosted deployment.

You acknowledge and agree that the Service, the formulas, strategies, algorithms, models, and methodologies utilized by the Service to provide reports, Service Output, and data, the agent skills and instruction files published by VecViz, and the look and feel of the Service (collectively, the "VecViz Property"), is proprietary to VecViz and protected under United States laws and international treaties. You further acknowledge and agree that all right, title and interest in and to the VecViz Property, including all associated intellectual property rights therein, whether registered or not, and wherever in the world they may exist, are and shall remain with VecViz. The Agreement does not convey to you an interest in or to any of the VecViz Property, but only a limited right to use, revocable in accordance with the terms of the Agreement. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from the Company.

You acknowledge that the VecViz Property constitutes commercially valuable, proprietary property of VecViz, the design and development of which required the investment of substantial effort, time, and money and reflect, in part, the credibility and goodwill of VecViz.

You agree that you will not: (a) reverse engineer, modify, alter, disassemble, decompile, adapt or translate any part of any VecViz Property except and only to the extent expressly permitted by applicable law; (b) copy (except solely for back-up purposes), sell, loan, assign, sublicense, subcontract, transfer, give, disclose, pledge, lease, rent or share any portion of any VecViz Property or your rights or obligations under the Agreement; (c) modify or prepare derivative works of any VecViz Property; (d) use any VecViz Property in a competing business; or (e) attempt to reconstruct, infer, or reverse engineer VecViz's underlying models, formulas, or methodologies from Service Output, including through systematic querying or analysis of Service Output for that purpose. You agree to keep confidential the VecViz Property, and use your best efforts to prevent and protect the VecViz Property from unauthorized disclosure or use.

You shall not download from the Service any historical security price data except through mechanisms provided by VecViz and the Service for the express purpose of downloading the same.

10. Limited License; Submissions; Feedback

VecViz grants you a non-exclusive, non-sub-licensable, non-transferable, revocable, and limited right to access and use the Service and other VecViz Property provided therein, subject to the terms of these Terms of Use.

Your Inputs. Data and parameters that you or your agents transmit to the Service in order to use it, including API and MCP request payloads, tickers and parameters queried, portfolio weights and holdings submitted for analysis, watchlists, configuration values, and documents submitted to review or analysis workflows (collectively, "Your Inputs"), are and remain yours. Your Inputs are NOT Submissions or Feedback. VecViz receives only a limited, non-exclusive license to process Your Inputs as necessary to provide the Service to you, to meter and secure the Service, and as described in the privacy policy, and claims no other rights in Your Inputs or in any trading strategy, model, or research they may reflect. Usage records derived from Your Inputs are handled and retained as described in the privacy policy.

Submissions. Content that you voluntarily post or provide for publication or sharing through the Service, such as comments, posts, testimonials, or materials you ask VecViz to publish ("Submissions"), are made at your own risk. VecViz shall have the right to keep and use any Submissions indefinitely.

You acknowledge and agree that you have no right to modify, edit, alter or enhance any of the VecViz Property in any manner. The VecViz Property may not be distributed, transmitted, or broadcast in any manner, or for any purpose, unless expressly authorized to do so by VecViz, in advance, and in writing. You agree not to deliver the VecViz Property, either reproduced or modified, or anything derived from the VecViz Property, either orally or in writing, as part of any seminar, training program, workshop, consulting, or similar business activity which you make available to others.

Content on the Service may be supplied by third parties. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties are those of the respective parties and not necessarily those of VecViz. Neither VecViz nor any third-party provider guarantees the accuracy, completeness, or usefulness of any such third-party content.

If you provide any feedback, reviews, or suggest any changes or modifications to any of the VecViz Property (collectively, "Feedback"), such Feedback shall be deemed non-confidential and VecViz will own all rights, title, and interest therein. You hereby irrevocably assign to VecViz all right, title, and interest in and to the Feedback.

You may not remove, modify or obscure any copyright, trademark, or other proprietary rights notices that appear on any VecViz Property or Submissions. Any derivative or transformed data derived by VecViz in whole or in part from Submissions shall be the exclusive property of VecViz.

11. Your Warranty and Indemnification

You represent and warrant to VecViz that your use of the VecViz Property will at all times comply with the Agreement, and all applicable law, rules and regulations. You agree to defend, indemnify and hold VecViz, its affiliates, subsidiaries, directors, officers, employees, agents, partners, contractors, and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by a third party, relating to or arising from: (a) any content you submit, post, transmit, or otherwise make available through the Service; (b) any violation by you of the Agreement; (c) any legal action taken by VecViz as part of its investigation of a suspected violation of the Agreement or as a result of its finding or decision that a violation has occurred; (d) your violation of any rights of another; or (e) the acts or omissions of any AI assistant, automated agent, or Compatible Software configured by you to use your API Key. This obligation shall survive the termination or expiration of the Agreement and/or your use of the Service.

12. Security

VecViz will use industry standard technical and organizational security measures, and as required by applicable law, in connection with the storage, processing and transfer of Your Data. Such measures are designed to protect the integrity of Your Data and to guard against unauthorized or unlawful access to, use of, or processing of Your Data. Further details on our collection, use, retention, and deletion of Your Data are set forth in our privacy policy found at https://vecviz.com/privacy-policy/.

13. Termination

Upon termination of the Agreement, your API Key will be deactivated and Your Data will become inaccessible from the Service. Your Data will thereafter be deleted or anonymized in accordance with the retention schedule set forth in our privacy policy, subject to retention required for legal, tax, accounting, billing-dispute, and abuse-prevention purposes. Your Submissions shall not be deemed Your Data, and VecViz shall have the right to continue to use any such Submissions after termination.

The Company, in its sole discretion, has the right to suspend or terminate your API Key and access to the Service at any time pursuant to the Agreement. The Company reserves the right to refuse use of the Service to anyone for any reason at any time.

14. Disclaimer of Warranties; Limitation of Liability

THE SERVICE AND OTHER VECVIZ PROPERTY (INCLUDING ALL DATABASES, SERVICE OUTPUT, CONTENT, SOFTWARE, FUNCTIONS, MATERIALS AND INFORMATION ACCESSED BY ANY MEANS THEREOF) ARE PROVIDED "AS-IS", WITHOUT WARRANTIES OF ANY KIND AND VECVIZ DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF ORIGINALITY, MERCHANTABILITY, NONINFRINGEMENT, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE. VECVIZ DOES NOT WARRANT THAT THE SERVICE OR FUNCTIONS CONTAINED IN THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE, THAT ALL DEFICIENCIES, ERRORS, DEFECTS OR NONCONFORMITIES WILL BE CORRECTED, THAT THE VECVIZ PROPERTY WILL MEET YOUR SPECIFIC REQUIREMENTS, OR THAT THE SERVICE WILL WORK CORRECTLY IN ANY PARTICULAR OPERATING ENVIRONMENT, INCLUDING ANY COMPATIBLE SOFTWARE, THIRD-PARTY PLATFORM, OR SELF-HOSTED DEPLOYMENT.

VECVIZ DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND VECVIZ DISCLAIMS ANY LIABILITY RELATING THERETO.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK. YOU FURTHER ACKNOWLEDGE THAT THE SERVICE IS NOT INTENDED OR SUITABLE FOR USE IN SITUATIONS OR ENVIRONMENTS WHERE THE FAILURE OR TIME DELAYS OF, OR ERRORS OR INACCURACIES IN, THE CONTENT, DATA OR INFORMATION PROVIDED BY THE SERVICE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. TO THE EXTENT SUCH EXCLUSIONS ARE SPECIFICALLY PROHIBITED BY APPLICABLE LAW, SOME OF THE EXCLUSIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, TRADING LOSSES, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), INCLUDING ANY SUCH DAMAGES ARISING FROM OR RELATING TO ANY ACT, OMISSION, OUTPUT, OR CHARACTERIZATION OF SERVICE OUTPUT BY ANY AI ASSISTANT, AUTOMATED AGENT, COMPATIBLE SOFTWARE, OR THIRD-PARTY PLATFORM. WITHOUT LIMITING THE FOREGOING, VECVIZ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VECVIZ FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NO AMOUNTS).

15. General Conditions

It is your responsibility to create back-up files for any and all information, data and files that you use in connection with the Service.

You grant VecViz certain rights with respect to Your Data. VecViz needs to be able to transmit, store and copy Your Data in order to display it to you, to make backups to prevent data loss, and to deliver Service Output. The Agreement gives VecViz the permission to do so and grants VecViz any such rights necessary to provide the Service to you, only for the purpose of providing the Service.

You understand that the Company uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

The failure of the Company to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision.

Any breach of your obligations under the Agreement with respect to the proprietary rights or confidential information of VecViz or any of its licensors will cause VecViz irreparable injury for which the remedies at law are inadequate, and therefore VecViz is entitled to immediate equitable relief in addition to all other remedies provided by the Agreement or available at law or in equity.

Except to the extent expressly provided below, the Agreement and the relationship between you and VecViz shall be governed by the laws of the State of Connecticut, excluding any conflicts of law provisions. You and VecViz agree to submit to the personal and exclusive jurisdiction of the courts located within Connecticut to resolve any dispute or claim arising from the Agreement. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from the Agreement shall be governed by the applicable law set forth in the next sentence. If you are a citizen of any European Union country or Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence. The United Nations Convention on the International Sale of Goods is specifically excluded from application to the Agreement.

VecViz may, without liability to you, access, use, preserve and/or disclose your information and content to law enforcement authorities, government officials, and/or a third party, as VecViz believes is reasonably necessary or appropriate, if legally required to do so pursuant to subpoena or other regulatory demand, or if VecViz has a good faith belief that such access, use, disclosure, or preservation is reasonably necessary to: (a) comply with legal process or request; (b) enforce the Agreement, including investigation of any potential violation thereof; (c) detect, prevent or otherwise address security, fraud or technical issues; or (d) protect the rights, property or safety of VecViz, its users, a third party, or the public.

If any part of these Terms of Use, or the application thereof to any person or circumstance, is for any reason held invalid or unenforceable, it shall be deemed severable and the validity of the remainder of these Terms of Use shall not be affected thereby.

VecViz may assign its rights under these Terms of Use at any time without notice. The provisions of these Terms of Use are for the benefit of VecViz, and its subsidiaries, affiliates and service providers, and each shall have the right to assert and enforce such provisions directly or on its own behalf. These Terms of Use shall be binding upon the successors, heirs and assigns of the parties.
